GENERAL TERMS AND CONDITIONS OF USE

Unique coaching (“Unique coaching”) welcomes you and invites you to access the ——– website (the ” Site “), to view the content thereof and to use the professional coaching, training and conference services offered therein (together “the Services “). These General Terms and Conditions of Use (the “Terms and Conditions of Use“) govern the provision by Unique coaching of the Services and the Site and the use you make of them. Please read them carefully, as access to the Site and the use of these Services are offered to you subject to your unreserved acceptance of these Terms of Use.

1. DESCRIPTION OF THE SERVICES AND THE SITE

As a user (” User “), your use of all or part of the Services constitutes in itself your full acceptance of the Terms of Use, and any other conditions applicable during your use of the Services, and your commitment to strictly comply with them. The Site contains content, including but not limited to any textual, graphic, musical, or sound elements, including, but not limited to, any message, information, titles, names, texts, slogans, diagrams, concepts, designs, graphics, animations, videos, audio-visual effects, and any other element that is part of the Services, as well as all associated intellectual property rights, trademarks, domain names (collectively, the ” Content “).

2. ACCOUNT

Certain features of the Services require the creation of an account with Unique coaching (the “Account”) by providing accurate personal information and keeping it current and complete. You agree that your User name may be publicly displayed in connection with the use of the Services, including when you post public messages and comments on the Site. You agree to maintain the confidentiality of your Account access code and password at all times and to ensure that they are not disclosed under any circumstances. Your Account is strictly personal to you and you may not grant access to it or transfer access to it to any third party. In the event of any unauthorized use of your Account, you agree to notify Unique Coaching as soon as possible. You are solely responsible for all activities that occur under your Account. Any use of your Account with your password, including any purchase of Services, is deemed to have been made by you. Unique coaching is under no obligation to verify the identity or authority of the persons who use your Account. You acknowledge that Unique Coaching will not be liable in any way for any loss or damage that may arise from any access to or use of your Account by any third party.

3. USE OF THE SERVICES

The Services are intended for personal use only and you must not make any commercial use of them under any circumstances. You agree not to:

  • make commercial use of the Services
  • sell, rent or commercialize the Content
  • modify, copy, translate, hack, distribute, or transfer any or all of the Content or Services
  • infringe in the context of the Services the intellectual and industrial property rights, the right to privacy and/or the right to one’s image and/or any other right of others and/or the confidentiality of data or the privacy of others
  • create, use, share and/or publish within the framework of the Services any content that does not comply with or contravenes the law, or that is false, inaccurate, misleading, aggressive, threatening, violent, defamatory, obscene, vulgar, racist, inciting hatred, contrary to good morals or in any other way inappropriate or contrary to the Terms of Use
  • create, use, share and/or publish by any means in connection with the Services any material that would constitute a breach of an obligation of confidentiality or encourage the commission of an illegal activity
  • use the Services for any purpose that is unlawful, misleading, defamatory, obscene, or contrary to the Terms of Use
  • attempt to gain access to any material or feature of the Services that has not been authorized for use
  • disseminate or post spam, unsolicited electronic communications for the purposes of commercial prospecting, surveys, contests, pyramid schemes or similar mechanisms
  • use another User’s Account, impersonate another person, or act deceptively with any third party in connection with the Services
  • collect or intercept by any means other Users’ data, Account information or the names and/or passwords of any User
  • alter or remove any copyright, trademark or other proprietary notices on the Content and any copies of the Content that are provided to you for use
  • copy or create derivative works based in whole or in part on the Content

You agree to comply at all times when using the Services with (i) applicable national and international laws and regulations and (ii) these Terms. Unique coaching is not responsible for and does not approve or endorse the opinions and/or recommendations of Users on the Services. Unique coaching reserves the right, without obligation on its part, to remove at any time any content made available to other Users via the Services and to block the Accounts or restrict their use at its discretion in order to put an end to any breach.

4. INTELLECTUAL PROPERTY

The Services are designed and managed by Unique coaching. The Services and any Content are protected by applicable Canadian copyright, patent, database, design and trademark laws, international conventions and other laws protecting intellectual property. The Services and any Content, and all intellectual property rights therein, belong to Unique Coaching or its licensors and assigns. It is strictly forbidden to copy, reproduce, publish or distribute, in whole or in part, these elements in any way and for any reason whatsoever is prohibited without prior authorization from Unique Coaching You are only authorized to use the Services and the Content within the limits expressly permitted by Unique Coaching herein. Use of the Services does not grant you any ownership or copyright rights in the Services or Content.

5. RATES AND PAYMENTS

Certain Services are subject to a fee and you agree to pay the stated price for access to the Services to which you subscribe through your Account. Standard sales taxes apply to these rates as shown.

6. LIABILITY AND INDEMNIFICATION

Unique Coaching makes the Content and Services available under the terms hereof and Users acknowledge that their access may be subject to interruptions, occasional breakdowns, bugs and internet connectivity problems, without Unique Coaching being held liable. Unique coaching does not provide any guarantee in connection with the Services, access to the Site and the Content and cannot be held liable for any direct or indirect damage whatsoever including loss of profit, costs or damages arising from access to the Services, the Content or the Site. You agree to indemnify and hold Unique coaching, its shareholders, officers, directors, employees and agents harmless from any claim or demand, including reasonable legal fees, made by any third party as a result of your breach of the TOU in connection with your use of the Services, Content or Site or as a result of your violation of any law or violation of the rights of a third party. You acknowledge that you will be solely responsible for any damages caused to Unique coaching, its shareholders, officers, directors, employees, agents or any third party, arising from any breach by you of the TOU or any violation by you of any law or violation of the rights of a third party. Unique Coaching reserves the right, in the event of a breach of your legal or contractual obligations, to (i) delete your Account and terminate any agreement between the parties, (ii) exercise any recourse against you to stop the breach and obtain compensation for the damage.

7. TERMINATION

You may terminate your Account or your access to one or more Service(s) at any time by contacting us at —–. In this event, Unique Coaching may recover the fees and charges incurred prior to the cancellation of your Account.

  • By Unique Coaching

Unique coaching reserves the right to terminate your access to the Services and/or your Account at any time and without notice, in whole or in part. Unique coaching may freely cancel unconfirmed or inactive Accounts, or modify or cease offering all or part of the Services at any time.

  • Consequences of Account Termination

You must immediately cease all use of the Services and Content. No refund of the sums paid to Unique Coaching will be made.

8. CONFIDENTIALITY AND COLLECTION OF PERSONAL DATA

When visitors leave comments on the site, Unique coaching collects the data displayed in the feedback form, as well as the visitor’s IP address and browser user agent string to assist in spam detection. An anonymous string created from your email address (also known as a hash) may be provided to the Gravatar service to see if you are using it. The privacy policy of the gravatar service is available here: https://Automattic.com/privacy/. After your comment is approved, your profile picture is visible to the public in the context of your comment.

Cookies

If you leave a comment on our site, you can opt to have your name, email address and website stored in cookies. These are for your convenience so that you don’t have to fill in your details again when you leave another comment. These cookies will last for one year. If you have an account and are logged in to this site, we will set a temporary cookie to determine whether your browser accepts cookies. Unique Coaching reserves the right to modify the provisions of the T&Cs and access to the services, the Content and/or the Site at any time for reasons related to technological developments.

Law and Jurisdiction.

This Agreement, your Account and the Services shall be governed by the laws in force in the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law rules; and you expressly consent to the exclusive jurisdiction of the courts of the judicial district of Montreal, Province of Quebec for any claim or dispute with Unique coaching, or in any way related to your Account or the Services.
